ACTE Board of Directors Orientation: Governance and Role Overview

This course will assist new ACTE Board members in understanding the governance of ACTE and their unique role as a Board Member. The course addresses the overall structure of the organization and vital documents, an overview of the three main roles of an ACTE Board member and their related governance components, and the significant responsibility and commitment required to serve as a Board member.

Governance
1. Understand the ACTE Governance structure
  - Differentiate between the Assembly of Delegates role and the ACTE Board of Directors role
  - Identify the structure of the ACTE Board
2. Understand the hierarchy of governing documents
  - Recognize the importance of the articles of incorporation and Bylaws serving as the “foundation” for the other governing documents
  - Differentiate which documents the Assembly of Delegates can amend versus which documents the Board of Directors can amend
3. Understand the difference between Regions and Divisions
  - Identify the components of a Region
  - Identify the components of a Division
Roles of a Board Member
1. Board Member Role:
  1. Understand the meeting requirements for the year
  2. Understand the Executive Committee and its role/make up
  3. Understand the organization of the Board meeting
    1. Recognize the importance of the consent agenda and how it functions
    2. Recognize the importance of the Executive Session and how it functions
    3. Examine Parliamentary Procedure, which serves as the guidelines for the meeting in addition to the ACTE Board Policy Manual
  4. Recognize the role of the ACTE Board
    1. Differentiate between leading and managing; steering and rowing
    2. Identify the roles of the Board as defined in the Bylaws
    3. Identify the types of questions/the mindset that a Board member shoold utilize to engage in oversight and direction setting
    4. Identify the responsibilities of a Board Member
  5. Examine the specific duties of a Board Member as defined by legal counsel
    1. Recognize the importance of the ACTE Bylaws and Board Policy Manual as well as the necessity to read them
    2. Identify the hallmarks of duty of care, duty of loyalty, duties of obedience, financial controls, safeguarding assets
    3. Recognize the aspects of the board code of conduct
2. Region/Division Leader Role:
  1. Identify roles as defined by policy
  2. Understand the importance of Communication: visibility at events, updating website, drafting eblasts and other communications to members, filing committee vacancies, mentoring, planning meaningfol events and resources, responding to questions, promoting membership
  3. Understand the Region and Division specific roles
3. Policy Committee Chair Role:
  1. Identify the importance of the Policy Manual and the necessity of review and upkeep
  2. Identify the logistics the Chair needs to undertake to conduct a meeting from start to finish and related governance implications
  3. Recognize the importance of and process for budgeting
